Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you") and Cfir Carmeli, trading as Marnie ("we", "us", "our"). You are contracting with Cfir Carmeli, which provides the Marnie service, website, dashboard and bots (together, the "Service"). By creating an account or using the Service, you accept these Terms. If you do not accept them, do not use the Service.

1. What the Service Is

Marnie provides managed hosting for a personal AI assistant ("bot") that you interact with through messaging channels such as Telegram and WhatsApp, or through our web chat. Each bot runs on a virtual machine we provision on your behalf and is powered by third-party large language models.

The Service is a hosting and orchestration platform. We do not author, review, control or endorse what your bot says.

Your bot's output is generated by artificial intelligence. It can be wrong, incomplete, outdated, biased or entirely fabricated, and it may produce different answers to the same question.

You must independently verify anything you intend to rely on. Do not use the Service as a substitute for professional judgement.

In particular, bot output is not medical, legal, financial, tax, psychological, safety or other professional advice, and no professional relationship is created by using the Service. Never rely on the Service in an emergency — contact the appropriate emergency service in your area.

You are solely responsible for any decision you take, or refrain from taking, on the basis of bot output, and for any consequence of that decision.

Because your bot generates content, you must not use it to produce, request or distribute:

You are responsible for the prompts and content you submit, for how you use or rely on the output, for verifying its accuracy before acting on it, and for holding the rights to anything you upload.

Content moderation

We reserve the right, at our discretion, to remove or restrict content, refuse or filter output, limit features, and suspend or terminate accounts — both for breaches of these Terms and where we reasonably suspect abuse or risk to the Service, to other users, or to third parties.

You are responsible for ensuring your use of connected messaging channels complies with those platforms' own rules. Losing access to a third-party channel is not our responsibility.

5. Your Content and Your Bot's Memory

You retain ownership of the content you provide ("Your Content"), including messages you send your bot and the notes it keeps about you. You grant us a limited licence to host, process, transmit, back up and display Your Content solely to operate and support the Service.

You represent that you have the rights necessary to provide Your Content and that it does not infringe anyone's rights or breach any law.

We may retain backups for a limited period after deletion, as described in our Privacy Policy.

6. Intellectual Property

We retain all ownership of the Service and everything in it — the software, infrastructure, documentation, designs, branding and the Marnie name and marks. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service; no other rights are granted, whether by implication or otherwise.

Inputs and outputs. You keep whatever rights you have in the content you submit. As between you and us, you own the output your bot generates in response to you, to the extent such output is capable of ownership; you are responsible for checking that using it does not infringe anyone else's rights. AI models can produce similar output for different users, so we make no promise that output is unique or protectable.

Rights-holder complaints. If you believe content generated or hosted through the Service infringes your intellectual property, email [email protected] with a description of the work, where the infringing material is, and your contact details. We will review promptly and remove or restrict material where appropriate. We terminate the accounts of repeat infringers.

7. Third-Party Services

The Service depends on third parties, including AI model providers (such as Anthropic), messaging platforms (such as Telegram and WhatsApp), infrastructure providers (such as Hetzner and Cloudflare) and our payment provider (Paddle). Your content is transmitted to and processed by some of these providers as necessary to operate the Service.

We do not control these third parties and are not responsible or liable for their acts, omissions, outages, policy changes, pricing, data handling or termination of service. Their terms apply to your use of their platforms.

8. API Keys and Your Own Credentials

If you choose to supply your own AI provider key or messaging bot token, you remain responsible for it: for the costs it incurs, for keeping it within the issuing provider's terms, and for revoking it if compromised. We store such credentials to operate your bot but accept no responsibility for charges, suspensions or losses arising on your third-party accounts.

9. Plans, Billing and Credits

Paid plans and prepaid AI credits are sold through Paddle.com Market Ltd, which acts as the merchant of record for those transactions. Paddle handles payment processing, invoicing and applicable sales taxes, and its buyer terms apply to the purchase itself.

In summary, for every plan: the first month is free, so cancelling during it costs you nothing; a charge is refunded in full if you cancel within 14 days of it; after that the period is not refunded but your plan runs to the end of the period you paid for (on a yearly plan, that means the remainder of the year) and then stops renewing; and unused AI credits are refundable at any time. 10. Availability — No Uptime Guarantee

We aim to keep the Service running, but it is provided without any uptime commitment or service level agreement. It may be unavailable due to maintenance, upgrades, third-party failures, or events outside our control. We may modify, suspend or discontinue any part of the Service at any time.

11. Backups and Data Loss

We take periodic backups of your bot's memory as a convenience. Backups are provided on a best-effort basis and are not guaranteed to be complete, current or recoverable. You are responsible for keeping your own copies of anything you cannot afford to lose. You can export your bot's memory from the dashboard at any time.

12. Suspension and Termination

You may stop using the Service and delete your bots at any time. We may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms, for non-payment, for security or fraud risk, if required by law, or to protect the Service or other users. On termination your right to use the Service ends immediately, and we may delete your data after a reasonable period.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, title and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that any output will be accurate or suitable for your purposes.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions our warranties are limited to the minimum extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by law:

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any statutory rights of consumers that cannot be waived. If any limitation in this section is held unenforceable, it applies to the maximum extent permitted, and the remaining provisions remain in force.

15. Indemnity

You agree to indemnify and hold us harmless from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising from your use of the Service, Your Content, your breach of these Terms or of any law, or your infringement of any third party's rights.

16. Changes to These Terms

We may update these Terms. Changes are posted here with a new date, and for material changes we will give notice by email or in the dashboard. Continuing to use the Service after changes take effect means you accept them; if you do not, stop using the Service and cancel.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules, and the competent courts of Tel Aviv-Yafo shall have exclusive jurisdiction. If you are a consumer resident in the European Union, the United Kingdom or another jurisdiction whose law grants you the right to bring proceedings in your place of residence and to the protection of its mandatory consumer rules, nothing here deprives you of that right.

18. General

These Terms, together with the Privacy Policy and Refund & Cancellation Policy, are the entire agreement between us. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
